Justice Department Requires Keysight to Divest Spirent Testing Assets to Complete $1.5 Billion Merger

Viavi Solutions will purchase three Spirent divisions covering high-speed ethernet, network security testing, RF channel emulation under a DOJ consent decree to preserve rivalry in critical test equipment markets.

Overview

  • The Justice Department’s Antitrust Division filed a civil suit in U.S. District Court for the District of Columbia today and proposed a consent decree to resolve its competitive concerns.
  • Keysight and Spirent together control roughly 85% of the high-speed ethernet testing market, more than 60% of network security testing and over 50% of RF channel emulation.
  • The required divestiture covers Spirent units that account for about 40% of its total revenue and includes all tangible and intangible assets needed to produce and sell these products.
  • Viavi Solutions is expected to hire key Spirent employees supporting the divested operations as it acquires the three business lines.
  • As mandated by the Tunney Act, the consent decree and the Department’s competitive impact statement will be published in the Federal Register for a 60-day public comment period.
